Acceptance of these terms

These Terms of Use ("Terms") govern your access to and use of the public website at netscale.tech and any subdomains operated by NetScale Technologies Inc. ("NetScale," "we," "our," or "us"). By accessing or using the website, you agree to these Terms. If you do not agree, please do not use the website.

These Terms govern only your use of our public website. Any services we provide to your organization are governed by a separately executed Master Services Agreement (MSA), Statement of Work (SOW), and Data Processing Addendum (DPA), which control in the event of any conflict with these Terms.

Eligibility and use

You must be at least 16 years old and capable of forming a binding contract to use this website. If you are accessing the website on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You agree to use the website in compliance with all applicable laws and these Terms, and not to:

  • Use the website for any unlawful, infringing, fraudulent, or harmful purpose.
  • Attempt to gain unauthorized access to any portion of the website or related systems.
  • Interfere with, disrupt, or circumvent any security or access controls.
  • Probe, scan, or test the vulnerability of the website except through our responsible disclosure program described in our Trust Center.
  • Scrape, crawl, or copy content from the website except as expressly permitted.
  • Use the website to train AI or machine learning models, except with our prior written consent.
  • Misrepresent your identity or affiliation, or impersonate any person or entity.
  • Introduce malware, viruses, or any malicious code.

The website and all content on it, including text, graphics, logos, icons, images, audio, video, software, design, and the selection and arrangement of content, are owned by NetScale or our licensors and are protected by Canadian, U.S., and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the website for personal or internal business evaluation purposes. All other rights are reserved. You may not modify, reproduce, distribute, publish, transmit, sell, or create derivative works from the website or its content without our prior written consent, except as expressly permitted by these Terms or applicable law.

"NetScale," the NetScale logo, and related marks are trademarks of NetScale Technologies Inc. All other trademarks are the property of their respective owners.

Submissions and feedback

If you submit comments, suggestions, ideas, or other feedback through the website or any communication channel, you grant NetScale a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, and fully sublicensable right to use, modify, and incorporate such feedback into our offerings without obligation to you. We will treat any information identified as confidential in accordance with applicable agreements between us; please do not submit information that you do not wish to be treated as non-confidential through public website forms.

To the maximum extent permitted by applicable law, in no event will NetScale or its directors, officers, employees, contractors, or affiliates be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunities, or goodwill, arising out of or relating to your use of the website, even if advised of the possibility of such damages.

Our aggregate liability for any claim arising out of or relating to the website will not exceed one hundred Canadian dollars (CAD $100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in part or in full.

You agree to defend, indemnify, and hold harmless NetScale and its directors, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the website, your violation of these Terms, or your violation of any rights of a third party.

Termination

Governing law and jurisdiction

These Terms and any dispute arising out of or relating to them or your use of the website are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Surrey, British Columbia for any dispute arising out of or relating to these Terms or the website, except that we may seek injunctive or other equitable relief in any jurisdiction.

If you are accessing the website from outside Canada, you do so on your own initiative and are responsible for compliance with local laws.

Changes to these terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Your continued use of the website after changes take effect constitutes acceptance of the revised Terms.

Miscellaneous

  • Entire agreement, These Terms (together with any agreements expressly referenced) constitute the entire agreement between you and NetScale regarding your use of the website.
  • Severability, If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
  • No waiver, Our failure to enforce any provision is not a waiver of that or any other provision.
  • Assignment, You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Headings, Section headings are for convenience only and do not affect interpretation.
